Constitution and Bylaws

        D. Associate members shall have all membership privileges excluding
        holding the offices of President, First Vice President, Second Vice
        President, or Treasurer.  They shall have full voting rights and may
        serve on the Board of Directors in the positions of Secretary, Vendor
        Representative, Education Director and Membership Director.

        Section 3. Student Membership.  Persons pursuing education in
        maintenance operations may be designated a Student Member.
        Payment of annual dues must be received prior to becoming a
        Student Member.  Student Members may not vote or hold office.
        Student members must produce a transcript from an accredited
        institution of higher learning, demonstrating full-time student status
        (12 hours).

        Section 4.  Interim Membership.  Any representative of a Regular
        Member in good standing who has left his or her employer and
        is seeking the same type of employment may be deemed an
        Interim Member, and as such, shall continue as a member of
        SAABE for a period of six (6) months.  Upon the expiration of such
        six (6) month period, the individual shall no longer be a member
        of the organization unless the individual otherwise qualifies for
        membership as set out in these bylaws.  Interim Members may hold
        office and may be entitled to vote.

        Section 5.  Life Membership.  Life Members meeting such criteria
        as may be established from time to time by the Board of Directors
        may be elected by the Board of Directors of the Association.  A
        Life Membership shall not be terminated during the life of the
        member and members so elected shall be entitled to all privileges of
        membership except the right to vote or hold office.

        E. Loss of Membership.

        (1)  Nonpayment of dues shall result in discontinuing of that
        membership until such time as the dues are paid up to date.

        (2)  Upon receipt of a written complaint of any member or its
        designated representative, the Board of Directors may censor,
        suspend, or expel any member or its designated representative for
        conduct harmful to the organization.  These actions shall follow such
        procedures as may be determined by the Board of Directors from
        time to time.
