Constitution and Bylaws

Section 2. Officers shall carry the titles of President, First Vice
President, Second Vice President, Secretary, and Treasurer.

Section 3. Directors shall carry the titles of Vendor Representative,
Education Director and Membership Director.

Section 4. In the event of resignation or death of the President, the
First Vice President shall assume that office followed by the Second
Vice President and Treasurer in that order. Resulting vacancies shall
then be filled by special election.

Section 5. Nominations for Officers and Directors shall be taken
from the floor at the November General Membership Meeting and
from the floor at the December General Membership Meeting prior
to the election.

Section 6. Officers and Directors shall be elected by quorum
majority at the December meeting of each year. Terms of all
officers shall be two years beginning January 1st following the
election. Terms shall be staggered, so that in one year the positions
of President, First Vice President, Second Vice President, and
Treasurer come up for election, and the following year the positions
of Secretary, Vendor Representative, Educational Director and
Membership Director are on the ballot.

Section 7. Election of officers may be conducted via voice, show of
hands, or written ballot, OR

Section 8. Electronic Nominations & Voting

On a year to year basis, the SAABE Board of Directors shall have
the authority to forfeit and/or cancel the December General
Membership Meeting and to request that the election of Officers &
Directors be conducted via electronic means through a survey site
and email distribution. If the case of an electronic vote, the process
will be as follows:

A. If the Board of Directors elects to conduct the annual
elections electronically for the calendar year, Section 8.
Electronic Nominations & Voting will be in lieu of/supercede
Sections 5, 6 and 7 above for that calendar year.
