ARCHITECTURAL SERVICES AGREEMENT
                               Architectural services will be provided based on ConsensusDocs 400 Series “Design/Build”
                                agreement and will include programming, schematic design, design development,
                                construction documents, and construction contract administration phases.

                           ARCHITECTURAL FEES
                               Because determining the scale/scope of the project is part of the initial phase of our work,
                                we are  presenting our Architectural Fees as an estimated range of 6 – 6.5 percent of the
                                total cost of construction or a G.M.P. if one is established. Fees will be billed monthly
                                based on the percent completed of each phase. An breakdown of the fees by phase is as
                                follows:

                                   Phase 1A (Programming & Budget Assistance)                     $5, 000
                                   Phase 1B (Schematic Design & Design Development)               $35,000
                                   Phase 2    (Design Development, Construction Documents, & CA)   Remainder of
                                                                                              the % of fee

                               Note that the fixed fees of Phase 1A and 1B would be included in the total Architectural
                                Fee if the project moves forward.

                               When compensation is based on a percentage of the cost of construction and any portions
                                of the project are deleted or otherwise not constructed, compensation for those portions
                                of the project shall be payable to the extent services are performed on those portions, in
                                accordance with the phases set forth above based on the lowest bona fide bid or
                                negotiated proposal, or if no such bid or proposal is received, the most recent estimate of
                                the cost of the work for such portions of the Project. The Architect shall be entitled to
                                compensation in accordance with this agreement for all services performed whether or
                                not the Construction Phase is commenced.

                           ITEMS FURNISHED BY GENERAL CONTRACTOR/BUILDING OWNER
                               Subsurface investigation (soils report) for design of footings and pavement.
                               Site topographical survey of property by a licensed surveyor.
                               Civil Engineering.
