CBA Board and Officer Nominations

Summary
• Officer Nominating Committee – The CBA Board acts as the nominating committee for the
2017-18 CBA Chair, Chair-Elect and Treasurer
• Elections for CBA Board – The CBA Board elects new Board members
➢ The CBA Board is composed of
▪ 8 Directors representing the largest dues-paying Members
▪ 11 Directors elected by the Board to represent community banks – the Board shall attempt
to have roughly half of the community bank directors from smaller community banks and
roughly half of the community bank directors from larger community banks
▪ 3 Directors (non-voting) – The Chairman may appoint for a 1-year term up to three (3)
individuals to serve as Advisory Members, 2 representatives of the Advocacy program, and
a representative of a Colorado bankers’ bank
▪ 5 CBA Officers
• Chairman (votes only if tie)
• Chairman-Elect (voting)
• Treasurer (voting)
• Past Chairman (non-voting)
• President (non-voting)
▪ Elected Directors serve for a term of three years and until a successor has been elected
and qualified. When filling the remainder of a term due to a vacancy, a Director may serve
an additional full term.

Recommendation by current CBA officers
• Traditionally the current CBA officers recommend candidates for these positions who are
willing to serve if nominated/elected. However, the Board may make other decisions.
• The Board nominates three officers. The election is at the annual meeting. David
automatically becomes Past Chairman. Current CBA officers recommend:
➢ Mark Driscoll as 2017-18 Chairman
➢ Brendan Zahl as 2017-18 Chairman-Elect
➢ Joanne Sherwood as 2017-18 Treasurer
• Current CBA officers recommend these individuals to fill Board seats:
➢ Mark Hall for a full 3-year term (until 6/30/20), Vectra Bank
➢ Dennis King for a full 3-year term (until 6/30/20), Home Loan State Bank (Grand Junction)
➢ Christian Lewis to fill the remainder of Stuart Pattison’s term (until 6/30/19), Northstar Bank
➢ John Montoya for a full 3-year term (until 6/30/20), ANB Bank
➢ Mike Noesen to fill the remainder of Michael Hobb’s term (until 6/30/18), Guaranty Bank
➢ Bob Ostertag for a full 3-year term (until 6/30/20), CoBiz

may be made in one motion.
