2.3 การตรวจสอบนิติบุคคลต่างด้าวทีอาจประกอบธุรกิจ โดย่ไม่ได้รับอนุญาต หร่อฝ่าฝ่ืนกฎหมาย่ Examination of foreign entities that may operate a business without permission or
violating the law
โด้ยจะต่รวจสือบนต่ิ บิ ค์ุ ค์ลทจี ด้ทะเบยี นในประเทศไทย ทีมีค์นต่่างด้้าวถือหุ้้นต่ังแต่่ร้อยละ 50 ขึนไป จําานวน 108 ราย ซึงเป็นการต่ิด้ต่ามจากปีงบประมาณ 2566 จําานวน 10 ราย และกลุ่มเป้าห้มายของปีงบประมาณ 2567 จําานวน 98 ราย แบ่งเป็นสืามกลุ่ม ด้ังนี
กลุ่ม 1 มีทุนขันต่ําาทีใชี้ในการเริมต่้นประกอบธุุรกิจใน ประเทศไทยไม่เป็นไปต่ามทีกฎห้มายกําาห้นด้ (ธุุรกิจนอกบัญชีี ท้ายและทุนจด้ทะเบียนไม่ถึงสืองล้านบาท) จําานวน 2 ราย
กลุ่ม 2 มีทุนขันต่ําาไม่เป็นไปต่ามทีกฎห้มายกําาห้นด้ (ทนุ จด้ทะเบยี นไมถ่ งึ สืามลา้ นบาท) และอาจประกอบธุรุ กจิ ต่าม บัญชีีท้าย โด้ยไม่ได้้รับอนุญาต่ จําานวน 21 ราย
กลมุ่ 3 อาจประกอบธุรุ กจิ ต่ามบญั ชีที า้ ยพิระราชีบญั ญต่ั ,ิ โด้ยไม่ได้้รับอนุญาต่ จําานวน 75 ราย
ผลการต่รวจสือบมีด้ังนี
• ไม่พิบการกระทําาค์วามผิด้ ยุต่ิเรือง จําานวน 59 ราย • แจ้งให้้ปฏิบัต่ิต่ามกฎห้มาย จําานวน 17 ราย
• ไม่ชีีแจงข้อเท็จจริงและไม่สื่งเอกสืารห้ลักฐาน
ให้้ต่รวจสือบ จําานวน 13 ราย ซึงเข้าข่ายเป็น ค์วามผิด้ฐานฝ่่าฝ่ืนไม่ปฏิบัต่ิต่ามห้นังสืือ สือบถามห้รือห้นังสืือเรียกให้้ชีีแจงข้อเท็จจริง ต่ามมาต่รา 30 (1) แห้ง่ พิระราชีบญั ญต่ั กิ ารประกอบ ธุุรกิจของค์นต่่างด้้าว พิ.ศ. 2542
• ไมสื่ ามารถต่ด้ิ ต่อ่ ได้้ เนอื งจากไปรษณยี สื์ ง่ ค์นื 10 ราย • ต่ิด้ต่ามต่รวจสือบต่่อในปีถัด้ไป จําานวน 9 ราย
By examining 108 juristic persons registered in Thailand with foreigners holding shares of 50 percent or more, this is a follow-up of 10 cases from the fiscal year 2023 and target group of 98 cases for the fiscal year 2024. It can be divided into 3 groups;
Group 1 The amount of 2 foreign juristic persons who have the minimum capital used to start a business in Thailand are not in accordance with the law. (Businesses that are not regulated by law and the registered capital is less than two million baht).
Group 2 The amount of 21 foreign juristic persons who have the minimum capital that are not in accordance with the law (registered capital less than three million baht) and may conduct businesses that are in the list annexed to the Act without permission.
Group 3 The amount of 75 foreign juristic persons who may operate their businesses which are in the list annexed to the Act without permission.
The results are as follows,
• Fully compliance with the law 59 entities
• Notice to comply with the law 17 entities
• Failed to disclose the information and failed to
submit documents for examination in the amount of 13 entities. This type of conduct is regarded as an offense under section 30(1) of the Foreign Business Act, B.E. 2542 (1999)
• Unable to contact 10 entities
• Followup(thefollowingyear)9entities
