(3) กรตรวจสอบนิติบุคคลต่งด้วท่ีอจ ประกอบธุรกิจ โดยไม่ได้รับอนุญต หรือฝ่ฝืนกฎหมย โด้ยต่รวจสือบนิต่ิบุค์ค์ลทีจด้ทะเบียนในประเทศไทยทีมี ค์นต่า่ งด้า้ วถอื ห้นุ้ ต่งั แต่ร่ อ้ ยละ 50 ขนึ ไป จาํา นวนทงั สืนิ 108 ราย พิบว่า ไม่พิบการกระทําาผิด้ของนิต่ิบุค์ค์ล 59 ราย (ร้อยละ 55) ปฏิบัต่ิไม่ถ้กต่้องต่ามกฏห้มาย จําานวน 30 ราย (ร้อยละ 28) และไม่สืามารถต่ิด้ต่่อได้้และต่ิด้ต่ามต่่อในปีถัด้ไป 19 ราย (ร้อยละ 17)
2) กรตรวจสอบคนต่งด้วท่ีมีพฤติกรรมให้ คนไทยทํา ธรุ กรรมอํา พรงเพอื่ หลกี เลย่ี งกรประกอบธรุ กจิ ตมพระรชบัญญัติกรประกอบธุรกิจของคนต่งด้ว พ.ศ. 2542 (นอมินี) โด้ยต่รวจสือบในกลุ่มธุุรกิจเป้าห้มาย 4 กลุ่มธุุรกิจ ได้้แก่ ธุุรกิจท่องเทียวและเกียวเนืองกับท่องเทียว ธุุรกิจค์้าทีด้ิน อสืังห้าริมทรัพิย์ การถือค์รองอสืังห้าริมทรัพิย์ ธุุรกิจโรงแรม รีสือร์ท และธุุรกิจขนสื่งและโลจิสืต่ิกสื์ จําานวน 498 ราย ซึงผลการต่รวจสือบพิบว่า 1) เป็นนิต่ิบุค์ค์ลทีไม่มี พิฤต่ิกรรมน่าสืงสืัยเข้าข่ายในลักษณะนอมินี จําานวน 390 ราย (ร้อยละ 78) เนืองจากนิต่ิบุค์ค์ลชีีแจงการประกอบธุุรกิจ แล้วไม่พิบข้อสืังเกต่ห้รือการกระทําาผิด้ 2) เป็นนิต่ิบุค์ค์ลที ฝ่่าฝ่ืนไม่ปฏิบัต่ิต่ามห้นังสืือเรียก ไม่ชีีแจงข้อเท็จจริงและไม่สื่ง เอกสืารห้ลักฐานให้้ต่รวจสือบ จําานวน 72 ราย (ร้อยละ 15) 3) เปน็ นต่ิ บิ ค์ุ ค์ลทมี พิี ฤต่กิ รรมนา่ สืงสืยั เขา้ ขา่ ยในลกั ษณะนอมนิ ี กล่าวค์ือ ค์นไทยอาจมีพิฤต่ิกรรมให้้ค์วามชี่วยเห้ลือสืนับสืนุน ร่วมประกอบธุุรกิจกับค์นต่่างด้้าวห้รือถือหุ้้นแทนค์นต่่างด้้าว จําานวน 6 ราย (ร้อยละ 1) และ 4) เป็นนิต่ิบุค์ค์ลทีไม่มีทีต่ัง ต่ามทีจด้ทะเบียนไว้ ห้รือไม่สืามารถต่ิด้ต่่อได้้ จําานวน 30 ราย (ร้อยละ 6)
the minimum capital in the amount and within the period specified by law through the Business Tracking System (e-followup CG).
(3) Inspecting of 108 foreigners who may be conducting business without permission, it was found that all compliance with the law 59 companies (55%), 30 cases did not comply with the law (28%), and 19 cases (17%) could not be contacted and followed up in the next year.
2) The investigation sought to determine whether there was a practice of illegal nominee shareholding to circumvent the Act.
The subject of the investigation consisted of 498 companies in 4 target business sectors, i.e., tourism and tourism-related business, land and immovable property trading, hotel and resort business, and transportation and logistics. The investigation results as follows: (1) 390 companies (78%) showed no conduct suspicious of nominee shareholding after examining the information provided by them; (2) 72 companies (15%) failed to follow the instructions given in the authority’s notice, failed to disclose the information, and failed to submit documents for examination by the responsible official; (3) 6 companies (1%) were identified as having conduct suspicious of nominee shareholding, i.e., the possibility of some Thai nationals assisting in, aiding and abetting, or participating in these foreigners’ business activities or acting as their nominee; and (4) 30 companies (6%) showed no address.
