Have you ever attended a board meeting? If so, which of the meeting processes
just listed were used?
Each subcommittee (such as coaching, officiating or events) established by a
board/management committee should have a terms of reference document. This
document should include, at a minimum:
• committee purpose
• authority delegated to the committee
• committee composition
• reporting requirements.

Does your club/federation have subcommittees? If so, does each subcommittee
have a terms of reference to guide their activities?
Clear separation of governance and management roles
Different clubs/federations operate under different governance structures. The
OSEP does not advocate adopting any particular governance model, but it does
advocate that each structure should be documented. There should be a clear
separation of powers and responsibilities between each person involved. Also,
it is important that there is no overlap in the powers of any 2 individuals in a
governance structure.
The OSEP advocates that the management powers be placed in a board/
management committee that has the authority to exercise all the roles of the club/
federation, except those that the constitution requires to be exercised in a general
meeting.
This system is more efficient for clubs/federations than a governance structure
with both a board and another body, usually called a council, that assumes some
board functions. This only complicates the management of the club/federation and
slows down decision-making.
