Registration Documents

The following documents must be submitted to the Registrar in order to form a
company:

Memorandum of association

Signed by all subscribers and stating that they wish to form a company and
agree to become members of the company.

Application

The application form must include:

 The proposed name of the company
 Whether the members will have limited liability (by shares or guarantee)

 Whether the company is to be private or public
 Details of the registered office (whether in England and Wales, Wales,
Scotland or N. Ireland) and intended address of the registered office (see
below)

Articles

The model articles apply if no articles are supplied

Statement of capital and initial shareholdings
This must state:

 the number of shares
 their aggregate nominal value

 details of each class of share

 how much has been paid up on each share
 a contact address for each subscriber
