Pursuant to Section 359(3) of the Companies and Allied Matters Act of Nigeria, the Bank has an Audit Committee comprising
three Directors and three shareholders as follows:

3 Mr. Idaere Gogo Ogan - Shareholder Member
4 Dr. Ernest Ndukwe - Independent Non-Executive Director Member
5 Mr. Abba Mamman Tor Habib - Non-Executive Director Member
6 Dr. (Mrs.) Ajoritsedere Awosika - Independent Non-Executive Director Member

The functions of the Audit Committee are as provided in Section 359(6) of the Companies and Allied Matters Act of Nigeria.

The auditors, PricewaterhouseCoopers have indicated their interest to continue in office and will do so pursuant to section
357(2) of the Companies and Allied Matters Act
