STANDARD SALES INCENTIVE PROGRAM RULES

                                       WORKSITE SOLUTIONS


          1.   Combined Worksite Solutions Account Executives, Sales Leaders and Area Managers are eligible to participate in
            Combined Insurance Sales Incentive Programs. At its discretion Combined Insurance reserves the right to change
            the structure of the Sales organization, at any time for any reason. Combined Worksite Solutions sales employees
            must be in Good Standing and not currently on Leave of Absence.
          2.   Combined Insurance reserves the right to disqualify an individual if achievements and/or performance fails to
            meet the Incentive Program Rules, the Company’s Code of Conduct and/or was not done in the spirit of the
            program.
          3.   Combined Worksite Solutions sales employees must have a Cancellation Rate below 15% to be eligible to receive
            an award or prize. The three (3) most recent monthly Cancellation Reports available from the end of a Program
            will be used to determine the Cancellation Rate of each Program participant. For any Annual Program (one
            that runs for 12 months), the average Cancellation Rate for the duration of the Program may also be taken into
            consideration.
          4.   Combined Worksite Solutions sales employees who voluntarily or involuntarily leave the Company during or after
            a program forfeit their rights to any awards, prizes and/or trips they had not yet received upon their last day of
            employment.
           5.   Combined Insurance, at its discretion, retains the right to change, modify, and/or delete program(s) rules,
            employee eligibility and/or terminate the program(s) at any time for any reason.
           6.   Combined Insurance, at its discretion, retains the right at any time to substitute an award for one of similar or
            equal value.
          7.   The date of the check for new polices paid by check must conform to the application date.
          8.   Sales to the immediate family members during programs will not be counted towards awards, prizes and/or trips.
            Immediate family is defined as someone’s spouse, parents and grandparents, children and grandchildren, brothers
            and sisters, mother-in-law and father-in-law, brothers-in-law and sisters-in-law, daughters-in-law and sons-in-law.
            Adopted, half and step members are also included in immediate family.
        9.      Program and contest rules may be modified for the state of New York requirements. As part of this change, the
            Annualized Premium from the sale of life insurance policies underwritten by Combined Life Insurance Company of
            New York will not be counted towards incentive programs and contest awards for Combined Worksite Solutions
            Account Executives, Sales Leaders and Account Managers in the state of New York.
         10.   For Programs in which winning is based upon insurance product sales—
             a.  Only premium from products underwritten by Combined Insurance Company, Combined Life Insurance
             Company of New York, or approved products from a Chubb affiliated company, may be counted toward
             premium goals or benchmarks of a Program.
             b.  Only the annualized premium represented by the applications received and processed each week by the
             Combined Insurance Processing Center (as indicated in the Qualification Rules for the program) will be counted
             for each week’s annualized premium amount. The most current AP data file at the end of the program will be
             used to determine winners (this may take up to 2 weeks to finalize).
          11.  All sales are subject to verification.
          12.   All winner’s and/or Spouse or Significant Other’s expenses for the awards, prizes and/or trips are reported to the
            IRS for tax purposes. The winner is responsible for the Spouse or Significant Others expense tax liability.
