1. โค งส างของคณะก มกา

Board of Directors Structure

1.1 คณะก มกา บ ิษัทจะต องป ะกอบไปด วยก มกา จํานวนไม<เกินสิบหก (16) คน โดยได ับ
กา แต<งตั้งจากที่ป ะชุมคณะก มกา บ ิษัทห ือที่ป ะชุมผู ถือหุ นของบ ิษัทฯ (แล วแต<ก ณี)

ตามหลักเกณฑNและวิZีกา ที่ ะบุไว ในข อบังคับบ ิษัท โดยก มกา ไม<น อยกว<ากึ่งหนึ่ง (1/2)
ของจํานวนก มกา ทั้งหมด จะต องมีถิ่นที่อยู<ในป ะเทศไทย และก มกา ไม<ตํ่ากว<าสามในสี่ (3/4)
ของจํานวนก มกา ทั้งหมดจะต องมีสัญชาติไทย ก มกา จะเปjนผู ถือหุ นของบ ิษัทฯ ห ือไม<ก็ได

The Board of Directors shall be comprised of up to sixteen (16) Directors and
be appointed via the resolution from the Board of Directors’ meeting or

the Shareholders’ meeting ( as the case may be) , according to the criteria and
method stated in the Company’s Articles of Association. Provided that no less than
one-half (1/2) of the total number of Directors shall reside in the Kingdom of

Thailand and no less than three-quarters (3/4) of the total number of Directors
shall be Thai nationals. A Director needs not necessarily be a shareholder of
the Company.

1.2 เปjนก มกา ที่เปjนผู บ ิหา ได ไม<เกินหนึ่งในสาม (1/3) ของจํานวนก มกา ทั้งหมด

Executive Director shall not be more than one-third (1/3) of the total number of
Directors.

1.3 เปjนก มกา อิส ะไม<น อยกว<าหนึ่งในสี่ (1/4) ของจํานวนก มกา ทั้งหมด

Independent Director shall not be less than one-quarter (1/4) of total number of
Directors.

1.4 ต องมีคุณวุฒิกา ศึกษาไม<ตํ่ากวา ะดับป ิญญาต ี ห ือเปjนผู มีป ะสบกา ณNในกา ทํางานที่เกยวของ
กับZุ กิจป ะกันภัย ห ือมีคุณสมบัติอื่น และไม<มีลักษณะต องห ามตามกฎหมายว<าด วย
บ ิษัทมหาชนจํากัด กฎหมายว<าด วยหลักท ัพยNและตลาดหลักท ัพยN กฎหมายว<าด วยป ะกันชีวต

และกฎหมายอื่น ๆ ที่เกี่ยวข อง วมถึงต องมีคุณสมบัติตามที่หน<วยงานกํากับดูแลป ะกาศกําหนด
The Directors shall have a minimum of bachelor’s degree or have experience

related to insurance business or other qualifications and have no prohibited
characteristics under the law of public limited companies, the law of securities and
exchange, the law of life insurance, the relevant laws and the notification of
the regulators.
