Constitution and Bylaws

        Section 2.  The protection and indemnification provided
        hereunder shall not be deemed exclusive of any other rights to
        which such director, officer, committee member, or employee,
        or person formerly holding such position may be entitled, under
        any agreement, insurance policy, or vote of the shareholders, or
        otherwise.
        ARTICLE XIV - Dissolution of Association

        The Board of Directors of SAABE direct that on discontinuance of
        the organization by dissolution or otherwise, the assets are to be
        transferred to this state or to a charitable, educational, religious
        or other similar organization that is qualified as a charitable
        organization under Section 501(c)(3), Internal Revenue Code as
        amended.

        ARTICLE XV – Certified Building Engineer Program
        Section 1. SAABE has established the Certified Building Engineer
        (CBE) designation to encourage proficiency and continuing
        education in the building engineering profession. Designations and
        the requirements needed to meet them will be established by the
        board of directors and administered by the CBE Committee, which is
        chaired by the Education Director.
        Section 2. The SAABE Board of Directors will conduct a semiannual
        review of the CBE program and make any changes deemed
        necessary to keep the program relevant and valuable to SAABE
        members.
        ARTICLE XVI – Amendment of Bylaws

        These bylaws may be amended or repealed by a 51% vote of the
        members eligible to vote and present at any annual or regular
        meeting of the association duly called and regularly held, notice
        of such proposed changes having been provided in writing to the
        membership ten (10) days before such meeting, or by a 51% vote
        of the members voting by a ten-day mailed, emailed, or faxed
        ballot. Amendments may be proposed by the Board of Directors on
        its own initiative or upon petition of any ten (10) voting members
        addressing to the Board.  All such proposed amendments shall
        be presented by the Board to the membership with or without
        recommendations.  Further amendments germane to the subject
        shall be accepted from the floor, or if the vote is by mail, email, or
        fax, shall be accepted if presented to the Secretary in writing, signed
