Constitution and Bylaws
Section 10. Any vacancy occurring in the Board of Directors, caused
by death, resignation, retirement, disqualification, or removal from
office of any director, may be filled by appointment made by the
board at any regular or special Board meeting. Any director so
appointed shall serve for the un-expired term of this predecessor
in office, or until a successor shall have been elected or appointed.
Immediately retired Officers or Directors may be appointed by
majority vote of the Board to fill any un-expired vacancy before
the otherwise required one year lapse. However, any person so
appointed, who serves at least half a regular first or second term will
be considered to have served a full term and will not be eligible for
reelection until one year has lapsed. The same person may again be
appointed to fill an un-expired vacancy, but may not be appointed to
fill vacancies more than two times without a lapse of one year.
Section 11. Any Officer or Director that vacates their position, either
voluntarily or involuntarily for any reason other than retirement will
not be permitted to return to any board position for the remainder
of the vacated term and will not be permitted to run for any board
position for the consecutive two year term.
ARTICLE IX - Duties of Officers and Directors
Section 1. The President shall conduct all general meetings, appoint
committees, and promote the activities of this Association. This
position will serve as a signatory on all banking accounts.
Section 2. The First Vice President shall conduct meetings and
assume the duties of the President in his or her absence, and assist
the Vendor Representative and Education Director in their duties.
This position will serve as a signatory on all banking accounts.
Section 3. The Second Vice President shall promote membership,
assist the Membership Director in their duties and serve as Sergeant
at Arms at General Membership Meetings. The Sergeant at Arms
shall maintain order at the meeting and verify the attendance count.
This position will serve as a signatory on all banking accounts.
Section 4. The Secretary shall keep the minutes of the regularly
scheduled General Membership Meetings, and in conjunction
with the President, promote the Association’s contacts with other
organizations.
