is not subject to the Wage Act.
The importance of all of this is not because anyone
intends to back down on compensation promises made to
employees. It is important, especially in a start-up,
because of all of the financial uncertainties in such a
venture, and because of the potential liability of
individual officers under the Wage Act. If despite best
laid plans and best intentions the venture does not work
out, and there are outstanding Wage Act liabilities, those
can continue to haunt the individual entrepreneur long
after the business venture closes.
