                                      HANDBOOK ACKNOWLEDGEMENT

               This Employee Handbook, including any applicable state supplement, is an important document
               intended to help you become acquainted with the Company. This document contains management
               guidelines only; it is not the final word in all cases.  Individual circumstances may call for
               individual attention.

               Because the Company’s operations may change, the contents of this Handbook may be changed
               at any time, with or without notice, in an individual case or generally, at the sole discretion of
               management.

               Please read the following statements and sign below to indicate your receipt and acknowledgment
               of this Employee Handbook.

                   I understand that it is my  responsibility to become familiar with the policies,
                   practices, and information contained within this Handbook.

                   I understand that this version supersedes all prior versions and that Lupin reserves
                   the right to revise, eliminate, or otherwise change provisions of the Handbook at any
                   time at its discretion.

                   I understand that nothing in the Handbook constitutes a contract, an invitation to
                   contract, or promise  of  continued employment.  I further understand that my
                   employment is terminable at will, either by myself or the Company, regardless of the
                   length of my employment or the granting of benefits of any kind. I understand that
                   no contract of employment other than “at will” has been expressed or implied, and
                   that no representative  of the Company other than the Chief Executive Officer is
                   authorized to provide any employee with an employment contract or special
                   arrangement  concerning terms or  conditions of employment  and that any such
                   agreement  must be in  writing and signed by the Chief Executive  Officer  or her
                   designee.

                   By signing this  form,  I acknowledge that I have read and understand the above
                   statements and I have received a copy of the Lupin Employee Handbook (including
                   applicable state supplement).
