3. Distributor undertakes to distribute the products of NANO4LIFE EUROPE L.P.® under
the original NANO4LIFE EUROPE L.P.® brand names.

Article 4 – Expert Reports

Both Distributor and NANO4LIFE EUROPE L.P.® are entitled to obtain and use expert
reports for the developed coating solutions for their own account and in their own name. Both
partners provide experts reports free of charge.

Article 5 – Costs

Distributor and NANO4LIFE EUROPE L.P.® shall each bear the costs incurred by them
respectively through this co-operation. There shall be no claim to the reciprocal
reimbursement of costs, unless pre agreed for special projects.

Article 6 – Confidentiality

Both parties shall treat in confidence all developments, prices and operations relating to this
contract. Following business activities will be kept in secret.

Article 7 – Contract Term Contract Cancellation

This contract is made for Ten (10) years. Starting from xx/xx/xxx it may be cancelled subject
to 12 months notice to xx/xx/xxx at the earliest. If the contract is not cancelled, it shall be
renewed by further periods each of Five (5) calendar years subject 12 months notice of
cancellation.

Article 8 - Contract Termination

This Agreement may be terminated by NANO4LIFE EUROPE L.P.® under any of the
following conditions.

a. If Distributor does not pay NANO4LIFE EUROPE L.P.® within 30 days from the
date that any payments are due hereunder.

b. If Distributor otherwise materially breaches the terms of this Agreement, and such
breach is not cured within 30 days after written notice of such breach is given by
NANO4LIFE EUROPE L.P.®

Article 9 - Sale of Products by Distributor

1. Distributor agrees to exercise its best efforts to develop the largest possible market for the
Products in the territory and shall continuously offer, advertise, demonstrate and otherwise
promote the sale of Products in the Territory.

2. Distributor takes over that 12 months of cooperation that is xx/xx/xxxx to xx/xx/xxxx to

products which will increase by at least 10% annually. If this target is not carried out cooperation between our company and the new distributor
NANO4LIFE EUROPE L.P.® has the right and not the obligation to suspend the cooperation
with the Distributor. If the Distributor achieves this target then the NANO4LIFE EUROPE
L.P.® cannot cancel this cooperation. If one of both parties breaches this agreement by its
own liability, then the other party is entitled to recover compensation in amount of the
damages caused by this breach. If NANO4LIFE EUROPE L.P.® breaches this agreement by
its own liability, it will respect a non-competition agreement with duration of 5 years, valid for
all countries of exclusivity.

3. By signing the contract should the distributor to make the first order equal to 20% of the
first annual target.
