b. NANO4LIFE EUROPE L.P.® shall supply to Distributor sufficient Products to
enable Distributor to meet the full demand for products in the Territory.

c. All orders for Products transmitted by Distributor to NANO4LIFE EUROPE L.P.®
shall be accepted by NANO4LIFE EUROPE L.P.® at the time such orders are
received by NANO4LIFE EUROPE L.P.® to the extent that they are in compliance
with the terms of this Agreement and NANO4LIFE EUROPE L.P.® shall perform in
accordance with all accepted orders. NANO4LIFE EUROPE L.P.® shall confirm its
receipt and acceptance of each order written 2 days of receipt of the order.

d. Purchases for resale only. All Products purchases by Distributor shall be purchased
solely for commercial resale or lease, excepting those Products reasonably required
by Distributor for advertising and demonstration purposes.

e. All products sold by NANO4LIFE EUROPE L.P.® are ready-to-use and will be not
changed in formulation by Distributor. Otherwise NANO4LIFE EUROPE L.P.® is
not able to guarantee the function of the products. Furthermore Distributor will not
pack the products into aerosol bottles.

Article 15 – Compliance with Laws

Distributor shall comply with the laws of the countries within the Territory including such
registration, licensing, permitting, taxation and similar laws as are appropriate and may be
applicable, to permit Distributor to market, promote and sell the Products within the Territory,
and Distributor shall advise NANO4LIFE EUROPE L.P.® of any changes in the laws that
would impair the ability of Distributor to sell Products within the Territory. Both NANO4LIFE
EUROPE L.P.® and Distributor agree to respect and comply with all applicable laws with
respect to its obligations under the Agreement.

Article 16 – Trademarks

Use Of Trademarks. NANO4LIFE EUROPE L.P.® hereby grants to Distributor and any
SUB-Distributor appointed by Distributor in the Territory , a non-exclusive and royalty-free
right and licence for the territory to use NANO4LIFE EUROPE L.P.® trademarks , trade
names and logos (together the Marks) during the initial Term or any Renewal Term solely in
connection with the sale or other distribution, promotion and advertising of the Products within
the Territory, so long as such Marks are used by Distributor and any Sub-distributor in
accordance with Supplier’s standards, specifications and instructions. Neither Distributor nor
any Sub-Distributors shall acquire any right , title or interest in such Marks other than the
foregoing limited license. NANO4LIFE EUROPE L.P.® shall not permit or license any other
party to use the Marks in the Territory , during the Initial Term or any Renewal Term.

Domain names. Distributor shall be entitled to use supplier’s Marks in connection with URL
Domain Names appropriate for the Products in the Territory.

Within thirty (30) days following termination of this Agreement , Distributor agrees to transfer
ownership of any Domain Names, Logos, Trademarks to NANO4LIFE EUROPE L.P.®
without any financial compensation.

Article 17-Infringements

Distributor shall promptly notify supplier of any unauthorized use by any third party of
supplier’s Marks or any use of similar marks, which come to Distributor’s attention and which
