may constitute an infringement or passing off of NANO4LIFE EUROPE L.P.® Marks.
NANO4LIFE EUROPE L.P.® agrees to act reasonably to defend against any such
unauthorized use or infringement, as NANO4LIFE EUROPE L.P.® recognizes same will
negatively affect Distributor in respect of its rights and obligations hereunder. Distributor
agrees to cooperate fully with NANO4LIFE EUROPE L.P.® in any action taken by
NANO4LIFE EUROPE L.P.® against such third party(ies), provided that such cooperation
will be at the expense of NANO4LIFE EUROPE L.P.® .
Article 18 - Order Procedure

a. Each order for Products issued by Distributor to NANO4LIFE EUROPE L.P.®
under this Agreement shall indentify that it is an order and shall further set forth
the delivery date or dates and the description and quantity of Products which are
to be delivered on each of such dates. An order for Products shall not provide a
delivery date less than 14 days after the date that order is delivered to
NANO4LIFE EUROPE L.P.®. In case of problems with the supplier of raw
materials of NANO4LIFE EUROPE L.P.®, Distributor will be informed
immediately about the delay with the information of the exact delivery date.

b. The individual contracts for the sale of Products formed by Distributor’s
submission of orders to NANO4LIFE EUROPE L.P.® pursuant to the terms and
conditions hereof, shall automatically incorporate, to the extent applicable, the
terms and conditions hereof, shall be subject only to those terms and conditions
and shall not be subject to any conflicting or additional terms included in any
documents exchanged in connection within.

Article 19 - Cancellation of orders

All cancelation of orders by distributor shall be in writing, or if not initially in writing, shall be
confirmed in writing. If Distributor cancels an order, which has been accepted by
NANO4LIFE EUROPE L.P.®, Distributor shall reimburse NANO4LIFE EUROPE L.P.® for
any cost incident to such order incurred by NANO4LIFE EUROPE L.P.® prior to the time it
was informed of the cancellation.

Article 20 - Purchase price

The prices are EXW Athens Greece. The transport to the port, airport or forwarder will be paid
by Distributor.

Article 21 - Price changes

NANO4LIFE EUROPE L.P.® reserves the right, in its sole discretion, to change prices or
discounts applicable to the Products. NANO4LIFE EUROPE L.P.® shall give written notice
to Distributor of any price change at least 60 days prior to the effective date thereof. The
price in effect as of the date of Distributor‘s receipt of notice of such price change shall
remain applicable to all orders received by NANO4LIFE EUROPE L.P.® prior to the effective
date.

Article 22 - Packing

NANO4LIFE EUROPE L.P.® shall, at its expense, pack all Products in accordance with
NANO4LIFE EUROPE L.P.® standard packing procedure, which shall be suitable to permit
shipment of the Products to the Territory, provided, however, that if Distributor requests a
modification of those procedures , NANO4LIFE EUROPE L.P.® shall make the requested
modification and Distributor shall bear any reasonable expenses incurred by NANO4LIFE
EUROPE L.P.® in complying with such modified procedures which are in excess of the
expenses which NANO4LIFE EUROPE L.P.® would have incurred in following its standard
procedures. This Term is valid for transport by ground. If other special packing is prescribed
for transport by air or ship, Distributor will pay the additional charges.
