              Employee Conduct & Work Rules

              To ensure orderly operations and the best possible work environment, Kontoor Brands expects
              employees to follow conduct and work rules that protect employees’ interests and safety.


              It is impossible to list all behaviors that are unacceptable in the workplace. While this list is not
              exhaustive, the following are examples of conduct that is prohibited and may result in disciplinary
              action, up to and including termination of employment:


                  •  Sleeping on the job;
                  •  Theft, attempted theft or unauthorized copying, removal, use or possession of property
                     belonging to Kontoor Brands, its employees, customers or vendors;
                  •  Intentionally falsifying timekeeping or Company records;
                  •  Failing to maintain accurate timekeeping records;
                  •  Falsifying or omitting important information on an employment application;
                  •  Intentional dishonesty or malicious conduct;
                  •  Violating Kontoor Brand’s workplace substance-abuse policy;
                  •  Actual or threatened violence in the workplace or violation of the violence-free workplace
                     policy;
                  •  Negligent or improper conduct that causes damage to Kontoor Brand's
                  •  property or a person(s);
                  •  Insubordination;
                  •  Rude or disrespectful behavior toward customers or vendors;
                  •  Abusing or misusing Company equipment or property;
                  •  Violating safety or health rules or sanitation standards;
                  •  Smoking in prohibited areas;
                  •  Sexual or other unlawful harassment or discrimination (or conduct that (1) could be
                     perceived as unlawful harassment or discrimination or (2) if continued, could become
                     unlawful harassment or discrimination);
                  •  Excessive absenteeism, tardiness or failing to call or report for scheduled work;
                  •  Unauthorized absence from work during working time (time associates are expected to
                     work, which does not include rest, meals or other authorized breaks);
                  •  Using telephones, computers, computer systems, Internet or other Company equipment
                     for personal or non-work-related use during working time (defined above);
                  •  Using or disclosing Kontoor Brand’s Confidential and Proprietary Information without
                     authorization (Confidential and Proprietary Information is information related to the
                     operation of the Company that derives actual or potential economic value. It is generally
                     not known to or readily available or accessible by people or entities who could gain
                     economic value or harm the Company if they knew or used the information. Examples
                     include promotional methods, operational techniques, intellectual property, trade secrets
