Use and Accrual of all PTO
                    PTO must be earned before it may be used.  Once an
             employee enters a Paid Time Off eligible employment classification,
             the employee begins to earn PTO according to the award schedule in
             this policy.

             PTO and Termination of Employment:
             The company encourages all its employees to use their available PTO
             each year for rest, relaxation and personal pursuits and for periods of
             temporary absence due to illness, injuries, or other health
             circumstances provided the PTO is approved by the Company
             supervisor.   If an  employee  terminates, the employee will be paid
             unused PTO hours that have been earned through the employee’s last
             day of work.  PTO hours will be paid at the employee’s base pay rate
             as is applicable on the last day of work and without regard to past
             overtime or any other special forms of compensation such as bonuses.

             Holidays
                    Precision Underground  will be closed for the following
             holidays; however, some employees may be asked to be “on call” in
             case of an emergency.   Refer to the On-Call Policy under
             Compensation.

                •   Fourth of July
                •   Veterans Day
                •   Thanksgiving
                •   Christmas Day

             Holidays are not paid by the Company.  Employees may use PTO if
             available.  All other  holidays may or may not  be observed at the
             discretion of management.

             Worker’s Compensation
                    All states have Workers’ Compensation laws whose purpose
             is to promote the general welfare of people by providing compensation
             for accidental injuries or death suffered in the course of employment.
             These laws are designed to provide protection to workers suffering
             occupational disabilities through accidents arising out of, and in the
