3.  Original By-law: ARTICLE VII RESIGNATIONS Section 2 ARTICLE XI MEMBER DISCIPLINE
                                                         Section 1 General

         Any member of the Club may be suspended or expelled by a majority vote of the Executive Committee present
            at any regular or called meeting of the committee where, in the judgment of the committee, his conduct is
         improper or inimical to the best interest of the Club, shall fail to pay his accounts or obligations to the Club as
         provided in Section 3 of this Article. Prior to the suspension or expulsion of the member, he shall be notified in
           writing by the Secretary and shall have the right to be heard before the Board of Governors upon the matter
           upon his request made within ten (10) days of notice being given, such request to be made in writing. Any
          shareholding member who has been expelled from the Club shall forfeit all his right and interest in the Club,
         subject to an accounting to him upon transfer of his stock certificate as in other cases of transfer. A decision of
                  the Executive Committee may be appealed to the Board of Directors for final determination.


                                                     Proposed Change:

              Any Member, or any Family, invitee or guest of such Member, whose conduct is deemed by the
           Grievance Committee to violate the Club Rules or Bylaws or to be improper, or is determined by the
         Grievance Committee likely to be detrimental to the welfare, safety, harmony, or good reputation of the
         Club or its Members or employees, or to endanger the same, may be reprimanded, fined, suspended, or
         expelled from the Club by action of the Board. The Grievance Committee will make a recommendation
           of disciplinary action to the Board of what it feels constitutes improper conduct or conduct likely to
         endanger the welfare, safety, harmony or good reputation of the Club or its Members. When the conduct
           of a member is such as may, in the opinion of the Grievance Committee, be satisfied by an apology or
         reparation (including a fine), by a Member, the Grievance Committee may recommend to the Board the
         Member to make such apology or reparation and fix a time for performance. Failure to comply with the
                       direction of the Board shall be sufficient grounds for suspension or expulsion.


                                            Explanation for Proposed Change:


          This change provides a clear definition of a grievance and those that a grievance can be brought against. This
                  change also outlines the type of recommendation the committee would propose to the Board.
