5. Original Bylaw: ARTICLE VII RESIGNATIONS Section 2 ARTICLE XI MEMBER DISCIPLINE
Sections 3-5
Any member of the Club may be suspended or expelled by a majority vote of the Executive Committee present
at any regular or called meeting of the committee where, in the judgment of the committee, his conduct is
improper or inimical to the best interest of the Club, shall fail to pay his accounts or obligations to the Club as
provided in Section 3 of this Article. Prior to the suspension or expulsion of the member, he shall be notified in
writing by the Secretary and shall have the right to be heard before the Board of Governors upon the matter
upon his request made within ten (10) days of notice being given, such request to be made in writing. Any
shareholding member who has been expelled from the Club shall forfeit all his right and interest in the Club,
subject to an accounting to him upon transfer of his stock certificate as in other cases of transfer. A decision of
the Executive Committee may be appealed to the Board of Directors for final determination.
Proposed Change:
Section 3. Hearing. The Member may appear in person and/or may file written statements. After the
hearing, the Board shall privately consider the charges and evidence and render a decision, a copy of
which shall be furnished to the Member. Only Board Members who were present during the hearing,
either in person or by telephone, shall be entitled to vote. The action of the Board shall be final,
conclusive, and binding on the Club and the Member. A Member who has been expelled as provided
herein shall forfeit all rights and privileges of Membership, except as otherwise provided in these Bylaws.
Section 4. Suspension. A Member may be suspended by a majority vote of the Board for a period of
suspension determined by the Board based on recommendation made by the Grievance Committee. A
Member who has been suspended shall forfeit all rights and privileges of Membership until the period of
suspension has expired and all indebtedness owed to the Club has been paid. A Member’s obligation to
pay monthly dues, assessments or other charges shall continue during the period of suspension.
Section 5. Expulsion. A Member may be expelled by a two-thirds (2/3) vote of the Board. Upon expulsion,
all of the Member’s financial obligations to the Club will be immediately due and payable.
Explanation for Proposed Change:
The proposed change to this Bylaw is to clearly state how the hearing process will be conducted by the Board
and to define the terms of suspension of a member.
