4.  Original By-law: ARTICLE VII RESIGNATIONS Section 2 ARTICLE XI MEMBER DISCIPLINE
                                               Section 2 Grievance Committee Action

         Any member of the Club may be suspended or expelled by a majority vote of the Executive Committee present
            at any regular or called meeting of the committee where, in the judgment of the committee, his conduct is
         improper or inimical to the best interest of the Club, shall fail to pay his accounts or obligations to the Club as
         provided in Section 3 of this Article. Prior to the suspension or expulsion of the member, he shall be notified in
           writing by the Secretary and shall have the right to be heard before the Board of Governors upon the matter
           upon his request made within ten (10) days of notice being given, such request to be made in writing. Any
          shareholding member who has been expelled from the Club shall forfeit all his right and interest in the Club,
         subject to an accounting to him upon transfer of his stock certificate as in other cases of transfer. A decision of
                  the Executive Committee may be appealed to the Board of Directors for final determination.


                                                     Proposed Change:

         Except for automatic suspensions related to delinquent financial obligations to the Club, a Member shall
          be notified in writing of any proposed disciplinary action and shall be given an opportunity to be heard
            by the Board to show cause why such Member should not be disciplined, suspended or expelled in
             accordance with this Article at least fifteen (15) calendar days prior to the effective date of such
         discipline. If the Member desires to be heard, the Member must provide a written request for a hearing
         to the Board within five (5) calendar days after the Club’s written notice to the Member of its proposed
         action. Upon the Board’s receipt of the written request for a hearing, the Board shall set a time and date
           for such hearing. While such complaint is being considered by the Board, the Member shall enjoy all
            privileges of the Club to which the Member was entitled prior to such complaint, unless the Board
          determines, in its sole discretion, that the use of such privileges would be improper or is determined by
          the Board likely to be detrimental to the welfare, safety, harmony, or good reputation of the Club or its
                                     Members or employees, or to endanger the same.


                                            Explanation for Proposed Change:

            The proposed changes would allow the Board to properly notify a member of its decision based off of the
          recommendation of the Grievance Committee and would provide a reasonable time frame for the member to
                                             respond if they so choose to appeal.
