TERMS AND CONDITIONS
The attached Terms and Conditions of Agreement documents our contract terms and is
incorporated into this proposal.

Our services are limited to the scope of services noted above. Should the scope of the project or
our services change, we reserve the right to invoice for additional services. Examples of additional
services include:

· Changes in scope and design beyond what is described in the Project Scope above and

the 2018 Historic Structure Report;
· Design and construction documentation beyond the Basic Services described above;

· Making revisions to previously approved drawings or reports;

· Attending more meetings than allotted;

· Preparation of detailed existing conditions drawings;

· Civil engineering services, stormwater management;

· Landscape design/documentation;

· Soils and subsurface investigations;

· Wetlands investigation, delineation, location survey and preparation of a wetlands plan;

· Locating and documentation of existing underground and above ground utilities on and

adjacent to the site;
· Preparation of Land Development Plans;

· Design of fire suppression (sprinkler) system;

· Entering OSHA-defined confined spaces;

· Renderings or models;

· Detailed 3-dimensional modeling renderings unless noted;

· Providing services after a substantial delay in the project schedule.

Reimbursable expenses (such as permits, prints, additional consultants, overnight deliveries,
travel, etc.) are not included as part of our professional fees and will be invoiced based upon
actual costs expended times a multiplier of 1.10. Mileage will be charged in accordance with the
standard IRS rate.

Additional Services can be performed for a mutually agreed upon fixed fee or on an hourly basis
in accordance with our hourly rates noted in our Terms and Conditions.

This proposal is valid for ninety (90) days.
