3. Operating Partners

A. TCL International, Inc.

TCL is a Dallas based holding company that specializes in transportation,
project management, marine fabrication and logistics services. Its
executives and managers have many years of experience in domestic and
international operations. They operated a freight terminal in Houston,
Texas as a part of a global logistics business that they conducted
worldwide including focused operations in the USA, Canada, Russia and
the countries of the former Soviet Union, the Middle East and Africa.

TCL managed logistics services in the US, Russia, and in several
countries in Africa and the Middle East.

Since 2014, TCL has been exploring the possibility of expanding its
operations to Paraguay. At present, the company is committed to its
active presence in the country and to participate in its development. The
principals have many years of experience in banking and finance,
shipping operations, ports and barge building, and terminal operation.

TCL plans to bring other partners to this enterprise.

B. Ceregral S.A.

Ceregral S.A. operates a private import terminal with a built-in custom
house under a contract with the government. That facility is in the City of
Fernando de la Mora, Grand Asuncion. The company owns a 32-hectare
site located on the banks of the Paraguay River in the City of Villeta, south
of Asuncion.

Some of the existing infrastructure for the planned terminal site are
the following:

• Site is totally fenced.
• Compacted, clean open fields.
• 140,000 sq. ft. covered storage.
• Separate storage areas with solid floors.
• Office building.
• Reception/ guard building.
• Electrical installation.

Ceregral will add the following assets to this operation:

• Agreement with the government to use the loading/ unloading service
at the Villeta’s government owned port facility.
• Agreement with the government to operate a private custom house.
• Environmental Impact Assessment approved by the Secretariat of the
Environment.
• Transportation service.
• Meat exporters.

This company has a terminal operation at the Villeta site.
