Employment of Relatives and Domestic Partners
               Relatives and domestic partners may be hired by the Company if (1) the persons concerned will
               not work in a direct supervisory relationship, (2) will not work in the same functional organization
               and/or team and (3) the  employment  will not pose conflicts of interest, difficulties  for
               supervision, security, safety, or morale. For the purposes of this policy, “relatives” are defined as
               spouses, domestic  partners, children, siblings, parents, or grandparents.  A “domestic
               partnership” is generally defined as a committed relationship between two individuals who are
               sharing a home or living arrangements.

               Current employees who marry each other or become involved in a domestic partnership will be
               permitted  to continue employment  with  the Company  provided  they don’t work in a direct
               supervisory relationship with each other or in the same functional organization and/or team or
               otherwise create a situation where an actual or potential conflict of interest arises. If employees
               who marry or live together do work in a direct supervisory relationship with each other, the
               Company will attempt to reassign one of the employees to another position for which they are
               qualified if such a position is available.

               Other Employment
               While employed by DELFI, employees are expected to devote their time and energy to their job
               with the Company. Employment that directly conflicts with the Company’s essential business
               interests  and disrupts business  operations  is strictly prohibited.  If  you wish  to engage  in
               additional employment that may create a real or perceived conflict of interest, you must submit
               a written request to your manager explaining the details of the additional employment. If the
               additional employment is authorized, DELFI assumes  no  responsibility for such additional
               employment. DELFI shall not provide workers’ compensation coverage or any other benefit for
               injuries occurring from or arising out of additional employment. Additional employment will not
               be considered an excuse for poor job performance, absenteeism, tardiness, leaving early, refusal
               to travel, or refusal to work overtime or different hours.  Employees with additional employment
               are expected  to comply with  the guidelines in  the Company’s Conflicts of Interest and
               Confidentiality policies included above.  Authorization to engage in additional employment that
               creates a real or  perceived conflict of interest  or that causes  or contributes to job-related
               problems can be revoked at any time.

               Recording of Conversations/Meetings
               On occasion, DELFI may deem it necessary to record conversations and/or meetings for the
               purpose of conducting business. In such cases, the Company will make such recording known in
               advance and obtain consent where required by law. Employees may not record conversations
               and/or meetings without the approval of management or the People Team. Nothing in this policy
               is intended to, and the policy will not be applied in a way that would, restrict or otherwise
               interfere with an employee’s right to engage in concerted activity under the National Labor
               Relations Act or other legally protected activities, including the right to engage in concerted
               activities for the purpose of collective bargaining or other mutual aid or protection, or to refrain
               from engaging in such activities.
