in a properly convene meeting and proxy shall not vote on matters
related to policy and constitution amendments.

The term of office of the Executive Board of WFBY shall run from
the end of the WFBY General Conference at which they were
elected until the end of the next following General Conference.
Section 4 In case of incapacity and/or vacancy of any of the above officers,
the EXBO shall be empowered to appoint a replacement as
recommended by the Regional Center concerned and shall serve
until the next subsequent conference. If the Regional Center
concerned does not recommend a replacement within one month
of notification, the EXBO will have the right to appoint any suitable
person as the replacement.

Section 5 The Executive Board shall have the duty to follow up and
encourage progress in the implementation of resolutions adopted
by the General Conference.

Section 6 The Deputy President, Secretary General, Treasurer shall head the
Regulatory Affairs; Administration; and Finance standing committees
respectively and the eleven Vice Presidents shall head one of the
standing committees to be decided by the EXBO. All Vice Presidents
shall be automatically members of the Regulatory Committee.

1.2 MEETING OF THE EXECUTIVE BOARD

Section 1 Section 1 Regular meetings of the Executive Board shall be
held at least once a year; the President shall officiate as
chairman of Executive Board meetings.

Section 2 Special meetings of the Executive Board may be called the
request of any seven members of the Board upon not less
than thirty days notice to each member.
Section 3 The Executive Board shall meet at the headquarters of the WFBY
or at such other place as may be designated by the Secretariat.

Section 4 A simple majority of members currently in office shall
constitute a quorum for the transaction of business. There
shall be no proxy vote by absent Board members.

Section 5 An Executive Board member is deemed present even via on-line
during the duration of the meeting or any inevitable scenario.
