Acquisition Process and Facility Management / Operations. 1547 has strategic procedures in-place for
                   uncovering and qualifying a market opportunity. Portfolio level possibilities undergo arduous quantitative and
                   qualitative evaluations to determine how an asset may “fit” in the Portfolio. Sourcing a prospective property,
                   analyzing the asset, and the disposition potential an opportunity may possess are all defined and strictly
                   monitored in the 1547 acquisition process. Such steps are as follows:



                   ■    Deal Sourcing
                          –   Leverage extensive relationship network to uncover new, pre- and off-market opportunities
                          –   Sources including brokers, industry analysts, industry executives, the fiber community, and
                              potential tenants


                   ■    Due Diligence Process
                          – Analysis includes competition, power, fiber, location, security, market demand, environmental
                             impact, operational expenses, partners, and state or local incentives
                          – Development of a detailed pro forma operating plan


                   ■    Transaction Negotiation and Execution
                          –   Creative approach to negotiating and structuring transactions
                          –   Various equity and debt capital partners for acquisitions of varying risk profiles

                   ■    Development Process
                          –   Prepare: Audit the requirements of tenant if BTS and evaluate the market requirements
                          –   Design: Create holistic data center design and obtain permits
                          –   Acquire: Competitive bids from at least 3 trades per job for construction
                          –   Implement: Construction through commissioning


                   ■    Facility Management and Operations.
                          –   Implementation of customized Data Center Infrastructure Management (“DCIM”) tools that
                              measure, monitor, and provide a best practices operations framework to each facility
                          –   Rigorous training of local staff on the electrical and mechanical equipment
                          –   Centralized management to provide operational consistency, improved economies of scale, and
                              back up security with local and centralized monitoring of all properties
                          –   Active energy management plan specific to each facility and governing power authority

                   ■    Exit Strategy.
                          –   Multiple exit strategies are possible, including individual asset sales, portfolio sales,
                              recapitalizations, and other creative strategies to maximize returns
                          –   Potential of a conversion to a public REIT
