               Compensation





               We propose to perform the Basic Services described above for a lump sum fixed fee based upon the following
               schedule.


                      Footsteps 1 – Journey                              $16,000.00
                      Footsteps 2 – Contemplation                        $44,000.00
                      Footsteps 3 – Return                               $  8,000.00

                      Reimbursable Expenses                              $  6,000.00
                      TOTAL – BASIC SERVICES AND REIMBURSABLES  $74,000.00



               Exclusions
               Existing facility assessment associated with St. Patrick Catholic Church facilities.
               Identification and abatement of hazardous materials.
               Construction cost estimating.

               Terms and Conditions
               Terms and Conditions of Agreement for Professional Services of Bernardon (Terms and Conditions) are
               enclosed and are part of this proposal.

               Reimbursable expenses (such as permits, renderings, prints, reproducibles, additional consultants, UPS, car
               share, travel, etc.) will be invoiced based upon actual costs expended times a multiplier of 1.10.  Travel via
               employee-owned vehicles will be charged in accordance with the standard IRS mileage rate.

               If this proposal meets with acceptance, please sign below and return one copy as authorization to proceed.


               This proposal is valid for ninety (90) days.
