1. โค งส างของคณะก มกา ต วจสอบ

Audit Committee Structure

1.1 คณะก มกา ต วจสอบจะต องป ะกอบไปด วยก มกา จํานวนอย<างน อยสาม (3) คน โดยได ับ

The Audit Committee shall be comprised of at least three (3) members appointed
by the Board of Directors.

The Chairman of Audit Committee shall be the independent director in the Board
of Directors. The members shall not be an executive director.

1.3 มีก มกา อิส ะเปjนจํานวนไม<น อยกว<าสองในสาม (2/3) ของจํานวนก มกา ต วจสอบทั้งหมด

The members of the Audit Committee shall be the Independent Directors at least

two-thirds (2/3) of all members of the Audit Committee and be qualified as
the announcement of the Office of Insurance Commission. (See details in
Appendix)

The Audit Committee member shall select one (1) member to be the Chairman and
another one (1) to be the Vice Chairman of the Audit Committee. The Audit
Committee can appoint one (1) Company's management, whose qualification is

appropriate, to be the Secretary of the Audit Committee.
