6. กา ป ะชุม
Meeting

6.1 กา ป ะชุมของคณะก มกา บ ิษัท จะต องป ะชุมกันอย<างน อยสาม (3) เดือนต<อค ั้ง

ทั้งนี้ คณะก มกา บ ิษัทอาจมีกา ป ะชุมวา ะพิเศษเพิ่มจากกําหนดกา ข างต นได ตามความจาเปjน
โดยในกา ป ะชุมแต<ละค ั้งจะมีกา กําหนดวา ะชัดเจนล<วงหน า และมีวา ะพิจา ณาติดตาม

ผลกา ดําเนินงานเปjนป ะจําในกา ป ะชุม

The Board of Directors’ meeting shall be held at least every three (3) months.
The Board of Directors may hold special meetings beyond such schedule
as deemed necessary. Each meeting shall have clear determination on the agendas

that regularly contains the consideration and monitoring on operation
performance.

6.2 กา ป ะชุมคณะก มกา บ ิษัทจะต องจัดขึ้นในก ุงเทพมหานค เว นแต<จะมีกา ตกลงกันเปjน

อย<างอื่นโดยเสียงเห็นชอบข างมากของคณะก มกา ในกา เ ียกป ะชุมคณะก มกา
ให ป ะZานก มกา ห ือผู ซึ่งได ับมอบหมาย ส<งหนังสือนัดป ะชุมไปยังก มกา ไม<น อยกวา

เจ็ด (7) วัน ก<อนวันป ะชุม เว นแต<ในก ณีจําเปjน ีบด<วนเพื่อ ักษาสิทZและป ะโยชนNของบ ิษัทฯ

จะแจ งกา นัดป ะชุมโดยวิZีอื่น และกําหนดวันป ะชุมให เ ็วกว<านั้นก็ได

The meeting of the Board of Directors shall be convened in Bangkok, unless
otherwise agreed by a simple majority of the Board of Directors.

In summoning a meeting of the Board of Directors, the Chairman of the Board of
Directors or the person assigned by the Chairman of the Board of Directors shall
deliver written notice summoning such meeting to the Directors not less than

seven (7) days prior to the date of the meeting. Where it is necessary and urgent
to safeguard the rights and benefits of the Company, the meeting may be

summoned by other methods and an earlier meeting date may be scheduled.

เปjนกา สละสิทZิกา ได ับหนังสือบอกกล<าวล<วงหน า โดยกา คัดค านดังกล<าวจะต องก ะทําตั้งแต<
เมื่อเ ิ่มป ะชุม และจะต องเปjนกา คัดค านเนื่องจากกา เ ียกห ือจัดกา ป ะชุมนั้นได ก ะทํา

โดยไม<ชอบด วยกฎหมาย

Prior notice may be waived. Attendance of a Director at a meeting of the Board of
Directors shall constitute a waiver of such prior notice, except where the Director
is attending to particularly object the meeting, provided that objection is made

at the beginning of the meeting and being made for the reason that the meeting
is not lawfully convened or organized.
