12. BONDS

A. The Contractor shall state below the bonding program to be utilized for this
Project. (i.e. - subcontractor(s) bonds or bonding program). The Contractor shall include a copy
of the program terms and conditions for the Owner’s review. The cost, including percentage
rate, of all bonds and bonding programs, whether provided directly by the subcontractor or the
Contractor, require the prior written approval of Cornell University. Such rates shall be inclusive
of discounts and rebates:
Zurich Subguard Insurance Program (See Attached)
(Bonding Program)

Bond Premium Rate for “Changes in Work”. 1.35 %

13. ASSIGNMENT

The Undersigned represents that no assignment, sublease, or transfer of all or any part of
this interest in this Proposal has been made or will be made without the written consent of
Cornell University.

A. The Undersigned will accept assignment of additional work related to this
Project under the following terms:

1. Cornell University may assign to the Undersigned separate contracts that
have been entered into between Cornell University and a Supplier or
Contractor. The Undersigned shall assume all of the obligations of
Cornell University under such separate contracts except for the payment
of the sums due thereunder, and Cornell University shall have no further
liability or obligation to the Supplier or Contractor named in the
contracts that have been assigned except for payments as specified in
such contracts.

2. Upon such assignment and assumption of such contracts, the
Undersigned shall be fully responsible to Cornell University for
performance of the work thereunder and for acts and omissions of the
Contractors or Suppliers of any tier and for all persons in the employ of
the Contractor or Supplier of any tier.

3. The Undersigned's responsibility includes, but is not limited to, off-
loading, storage, safeguard, installation, checkout and start-up of
equipment covered by these separate supply contracts.

4. The Undersigned shall be responsible for the management of the
assigned separate supply contracts.
