-When Andros became chief executive he made
strategic decisions and presented them as a fait

                         accompli to the board.

-Sir Lewis took over the strategic decision making role

with necessary reference to the City, until he had

                         appointed a successor to Andros.

-David Michels approaches strategic decisions as

being part of his remit but in consultation with the

                         Board.

Q : Where does the power lie?

A : There can be little doubt that up until 1991 power lay
firmly in the hands of the Stakis family who had over 25

per cent of the issued shares. The appointment of Andros

as chief executive effectively maintained this family

dominance. After 1991 power reverted to the board
which was by then a highly professional team.
