Quorum Majority of the Committee, and of that group, at least three (3) voting directors must
be present.
Resources The Committee may invite any member of management, employee or other person to
attend any of its meetings. It is anticipated the CEO and the Executive Lead would be
expected to attend all meetings.
Agenda It is anticipated that the Committee will include as a regular agenda item, a
management report that summarizes progress toward the integration objectives.
