1.0 WELCOME
The meeting was called to order at 7:31am by P. Gordon who then opened with prayer.
2.0 DECLARATION OF CONFLICT OF INTEREST
No conflicts were declared.
3.0 INTEGRATION COMMITTEE TERMS OF REFERENCE
The draft terms of reference for this committee were reviewed and a minor wording change was
recommended. The revised document will be submitted to the Governance and Nominations
Committee for their approval before being submitted to the full board.
Motion: P. Gordon moved that the Terms of Reference be approved as discussed. The Motion
was seconded by B. Howard and carried.
4.0 CEO REMARKS
The executive team continues to meet weekly. The support VPs are meeting weekly and the
clinical VPs are also meeting regularly to share information regarding clinical services and find
opportunities across the sites.
Transition workstreams and executive leads have been identified. The leads are accountable
for the workstream activities according to the transition roadmap.
As the Transition Office is established, a decision has been made to obtain external support
through Ernst and Young (EY). St. Michael’s worked with several of their members
previously in setting up improvement initiatives which have helped to generate over $17M in
savings in recent years. The EY team will arrive on site later this week.
Integration objectives and performance metrics are under development. Work continues to
consolidate budgets and financial information across the three sites.
Decision-making is shared between the Executive Committee and the local senior management
teams. Efforts continue to strike the right balance to ensure that decisions are made in a timely
manner and at the right level. Accountabilities up to the president and then to the board
(through the various board committees) are also being clarified. Further discussions will be
held with the Executive Committee continue to develop consistency on this important issue. A
decision regarding the possible addition of a CAO or COO will be left to the new CEO.
o It was noted that the delivery model for services both within the sites and across sites
will need to be reviewed. As an example, finance will be undertaking a needs
assessment for their “customers” and will examine the findings to determine the best
delivery model for their services.
The three foundations are requesting clarification of the formal relationship between the
foundation boards and the corporate board. The Governance and Nominations Committee will
look at this issue at their next meeting and make a recommendation to the full board. Members
of this committee will also follow up on this matter as needed.
5.0 TRANSITION UPDATE
With the support of the EY team, the Transition Office will be able to help us set up a rigorous
project management structure, establish a clear project plan across all workstreams and ensure
that it is adhered to in a reasonable timeframe.
Communication of transition activities is being shared with staff in several ways including
town halls and bulletins. In addition, a weekly email update is sent out to all management. A
