                                  Miscellaneous Charges






             PAYMENT OR DEPOSIT: Standard Hello! terms, although Hello! is open to
             negotiating based on Amway’s payment terms.


             Upon receipt of the contract, a deposit of fifty percent (20%) of program total is

             due unless contractors require otherwise. Thirty (30) days prior to the program’s
             scheduled operation date, Hello! California Destination Management, Inc.
             requires a deposit equaling a total of ninety percent (90%) of the total
             anticipated charges for the program based on the Services Agreement
             outlining all costs. Services provided by third parties are not normally finalized

             until a deposit is received.               Final payment equal to the remainder of the
             program total and any charges for additional services is due upon receipt of the
             Final Invoice.         If the program is cancelled, Hello! California Destination
             Management, Inc. shall have the right to retain an amount of the Deposit equal
             to nonrefundable third party deposits and other hard costs referenced in the
             terms & conditions above, These cancellation penalties are contingent upon
             when cancellation occurs as referenced above.



             All pricing is included and estimated. Costs of services in proposal include all
             taxes and service charges. Additional costs may be incurred should profile of
             program change e.g.. Upgraded menus, additional services requested, change
             of beverage packages, etc.
