All of the assets and earnings shall be used exclusively for the purposes
hereinabove set out, including the payment of expenses incidental thereto; and no part

of the net earnings shall inure to the benefit of any member and no substantial part of
its activities shall be for the carrying on or propaganda, or otherwise attempting to

influence legislation.

The corporation receives its rights and privileges for the operation of the Junior
Achievement program from Junior Achievement Worldwide and Junior Achievement

Asia Pacific.

ARTICLE III

The address of the principal and initial registered office of the corporation of the
corporation is GCIC Building, Suite 500W, 414 W. O’Brien Drive, Hagatna, Guam

96910.

ARTICLE IV

The organization shall continue for another fifty (50) years upon the expiration
of the current structure filed with the Division of Licenses and Registration of the
Government of Guam on February 2, 1976.
