                  Corporate Governance


                  The  Xperien Board of Directors are dedicated to achieving economic success and increasing long-term investor value while
                  maintaining the highest levels of integrity and ethics. Based on the King IV Report, Xperien has implemented Corporate Governance
                  Principles that enable the efficient functioning of the business.

                  Our Board Consists of our CEO, Managing Director, a member of the Executive Committee and one Independent Board Member. Our
                  board meets at least once a year to review performance and set new targets for the company.

                  Ethics and Human Rights


                  Xperien upholds and values ethical conduct and human rights. We treat our employees with respect and dignity and strive to
                  maintain this value-system in our company.

                  Xperien employees are held to the highest ethical standards and are required to treat others with integrity, respect, fairness and
                  equity. Our commitment in this regard is seen through our rigorous targeted policies and strong governance that ensure that Xperien
                  employees uphold ethical and moral responsibility. We conduct regular training and provide consistent newsletters.

                  At Xperien, we take a zero-tolerance approach to corruption. Our policies require staff to declare gifts they may receive from our
                  clients and affiliates. All gifts that are valued at R500 or more may not be accepted. In 2021, we received no breaches to our code of
                  ethics.

                  As a subscriber to the UN Global Compact and the UN Sustainable Development Goals (SDGs), we uphold human rights. Following this
                  commitment, we ensure that any products we use are not produced using child labour.
