EMPLOYMENT CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This contract made and entered into this ___________________, in San Juan City,
Metro Manila, by and between:

ASI.COM.PH INC., a corporation duly organized and existing under
Philippine laws, with office address at #36 S Veloso St., Brgy. Salapan,
San Juan City, represented herein by Meli-ann V. Catriz hereinafter
referred to as “ASI”,

_____________________ of legal age, Filipino, with address at ________________
herein after referred to as “EMPLOYEE”,.

WITNESSETH THAT:

In consideration of the mutual covenants herein contained, the parties hereby agree
as follows:

1. ENGAGEMENT OF SERVICES – ASI hereby engages the services of the
EMPLOYEE, and the latter accepts the engagement as _______________, to perform the
following services, duties and functions:

2. COMPENSATION – The EMPLOYEE shall be paid a daily salary of
_______________________________________________.

3. EMPLOYMENT BOND – upon signing of this Contract the EMPLOYEE
shall give to ASI a security bond from a reputable bonding ASI in the amount of Fifty
Thousand Pesos (P50,000.00). ASI shall have the right to forfeit the bond in the event the
EMPLOYEE makes a material breach in any provision under the contract.

4. EXCLUSIVITY AND NON-COMPETITION: The EMPLOYEE agrees
that during the term of this Agreement, the ASI shall have sole, exclusive and prior right
to his/her time and services, and the EMPLOYEE further agrees and commits that during
the term of his/her employment, and for a period of one (1) year from the termination of
his/her employment with the ASI for whatever cause: a) he/she will not engage in
employment or provide services to any person or entity which are in
