               Subcontracts:


                       The many variables to consider for a Sub-Contract format include the legal jurisdiction,
               project dollar volume and scope of work.  The following contract forms are regularly used.
               Subcontract agreements that parallel the Prime Contract are preferable.




               Tender-Contracts


                              -  CCA L-1 Canadian Standard, Construction Sub-Contract Stipulated Price
                              (1984) Long Form (Canada)


                              -  AIA, A401 Contractor, Subcontractor Agreement (USA)


                Custom and Qualified Proposal-Contract


                              -  CCA S-1 Canadian Standard Construction Sub-Contract Stipulated Price (1984)
                              Short Form (Canada)


                              -  AIA, A491 Design-Builder/Contractor Agreement (USA)




                       Other than agreed to items that are included or excluded from the standard general
               conditions of the Contract, we do not recommend signing contracts that have altered or
               supplementary general conditions.  When submitting your Proposal Presentation it should be
               stated that the form of contract to be signed would be a specific industry standard construction
               document.  All terms of your proposal acceptance statement should be included with your
               contract and not altered without written agreement from the client.  Always include design
               documents as part of the Contract, signed and initialed by both parties, even if they are produced
               after the signing of a contract that indicates drawings are to be completed later.
