Employee Handbook





               I. INTRODUCTION

               I.A  About this Handbook

               The Employee Handbook has been prepared keeping in mind our objective to inform all Employees of SHTPL
               history,  philosophy,  employment  practices,  and  policies,  as  well  as  the  benefits  provided  to  our  valued
               Employees. It is a summary document and is not intended to be all-inclusive. We anticipate that  this Handbook
               will  provide  you  with  general  information  concerning  your  employment  with  SHTPL.  The  policies  in  this
               handbook are applicable to all SHTPL Companies.

               We encourage Employees to consult this handbook whenever you have a question related to the Company
               policies. The Handbook and other information can be accessed here.
               This handbook is not intended to, nor does it, constitute a contract of employment or a promise or guarantee
               of benefits or policies stated in it. As and when SHTPL considers it appropriate, changes or exceptions may be
               made to the provisions of this handbook, with or without prior notice. SHTPL remains the final authority as to
               the proper interpretation and application of the provisions of this handbook. Deviations from its provisions by
               management personnel may be authorized, or subsequently ratified, by SHTPL management team as it deems
               appropriate.

               SHTPL, at its sole discretion, may add, change, delete, suspend or discontinue any part or parts present  in this
               handbook at  any  time without  prior  notice  as  business, employment  legislation,  and economic conditions
               dictate. Not all revisions will be communicated to all employees via memo.  However, changes  will be posted
               through e mail communication.

               This Handbook replaces and supersedes any and all other Employee Handbooks, as well as all other SHTPL
               policies, rules and provisions in conflict with these  policies, whether  written or oral.

               Amendment

               This Policy handbook may be amended or modified only with SHTPL Management team. In addition, any waiver
               of  policies  granted  in  favor  of  an  employee  of  SHTPL  of  companies  must  be  approved  by  the  SHTPL
               Management  team.

               This  Policy  handbook  supplements  and  does  not  supersede  or  replace  the  terms  and  conditions  of  any
               agreement signed by you and any member of the SHTPL family of companies. If you believe the terms of these
               policies conflict with any such agreement, you should contact the Human Resources for clarification.
