PROPOSED BYLAW CHANGES

1. Original Bylaw: ARTICLE XI OFFICERS Section 2 ARTICLE VII OFFICERS Section 2 Term of
Office

All officers, except for the President, shall be chosen for a term of one (1) year. The President shall serve a term
of two (2) years. Board of Governors shall fill all vacancies in the ranks of the officers. Any Governor elected to
the office of President shall remain on the Board of Governors for the duration of their term as President, even
if his term as governor would have otherwise expired.

Proposed Change:

All officers shall be chosen for a term of one (1) year. Board shall fill all vacancies in the ranks of the
officers. Any Governor elected to the office of President shall remain on the Board for a term of one (1)
year and serve as Immediate Past President for one year, even if his term as Governor would have
otherwise expired.

Explanation for Proposed Change:

This change is being proposed to ensure there is a clear line of succession for the officer of President. The other
many factors are to ensure that each year the Membership is electing four (4) members in accordance with the
Bylaws that govern the Club.
