                          7.  To prepare as needed for presentation and approval at a General Meeting
                              proposal for changes to the procedures and customs of the synagogue and
                              Amutah.
                          8.  To prepare and convene a General Meeting at least once a year.
                          9.  To manage the property of the Amutah.
                          10. In order to fulfill its role the Board shall have the authority to spend up to 50,000
                              ILS [fifty thousand Israeli shekel] every year without the specific approval of a
                              General Meeting.
                       c)  Signing Authority:
                          1.  The Board Chair or the Treasurer, together with another Board member, are
                                 authorized to sign in the name of the Amutah, and their signatures obligates the
                                 Amutah in all matters.
                          2.  Signing authority will function in accordance with the By-Laws of the Amutah
                              and the decisions of the Board.
                       d)   The Audit Committee.
                          1.  The Audit Committee of the Amutah shall be appointed by the General Meeting
                              and shall consist of two members who are not members of the Board. In place of
                              the Audit Committee, the General Meeting is authorized to appoint an Audit
                              Body as it is understood in the “Law of the Amutot.”
                          2.  The Audit Committee or Audit Body shall inspect the financial and economic
                              dealings of the Amutah and its account ledgers and shall present to the General
                              Meeting its recommendations regarding the approval of the annual financial
                              report, and shall create a special report on a specific issue, should 25% of the
                              Amutah membership request it.

               Article VII: Director and Officer's Liability, Indemnity, and Insurance

                   1.  The Amutah may not exempt a director or officer of the Amutah from liability as a result
                       of the director or officer's breach of the Duty of Care, or breach of the Duty of Trust and
                       Confidence toward the Amutah.
                   2.  The Amutah may, subject to any law, indemnify a director or officer due to an action
                       performed while a director or officer of the Amutah, regarding any of the circumstances
                       detailed hereinafter, insofar as no prior commitment of indemnification was made due
                       to the breach of the Duty of Care or the Duty of Trust and Confidence by the director or
                       officer:
                          a.  A financial liability imposed on the director or officer in favor of a third party as
                              per a court ruling; provided that a prior commitment of indemnification will be
                              given only for events which, in the opinion of the board, are foreseen
                              considering the Amutah's activities at the time of the provision of the
                              commitment of indemnification, and the amount provided for is reasonable
                              considering the circumstances, and as long as the Duty of Care and the Duty of
