1. The decisions of the General Meeting will be ratified by a simple majority of the
members participating in the Meeting, except for those decisions, which
according to the By-Laws, require a 75% majority. Participating members of the
Meeting include those represented through proxy by other members as detailed
in Article V, Section 2, above.
2. Every member of the Amutah shall be bound by any decision of a General
Meeting, whether or not: the member was present at the Meeting, participated
in the vote or voted for, against or abstained.
3. Any error in the procedures, convening or conduct of a General Meeting or the
representation of a member shall not prejudice the validity of its decisions,
unless it thereby results in a perversion of the law of the State of Israel or
Halakha.
4. Deliberations of a Meeting shall be recorded in the minutes. All minutes of a
Meeting will include a list of the participants, a summary of the deliberations and
a recording of its decisions. The minutes will be drawn up by the Secretary and
shall be signed by the Chair and the Secretary and shared with the membership.
Minutes shall be retained by the Secretary.
f) Any change to the By-Laws of the Amutah requires a majority vote of 75% of the
participants at a Meeting, with the proviso that at least 50% of the membership be
present.
2) Special General Meetings:
a) A Special Meeting of the Amutah may be convened:
- upon the request of the Board. or
- upon a written request of the Audit Committee, or
- upon the written request of 25% of the membership.
Notwithstanding the above, in the event that there will be a change in the “Law of
Amutot” that will require a higher per centage of the membership to justify the
convening of a Special Meeting, such change will automatically apply to the By-Laws,
so that the maximum per centage set by the law will always apply in order to convene
a Special Meeting of the Amutah.
b) A Special Meeting of the Amutah is only empowered to judge and decide on any
matter relating to the Amutah, that is included in the agenda of that Special Meeting,
as detailed in the announcement of the convening of that Meeting. All rules
as detailed in “Article VI: The General Meeting, Sections Two [2] through Seven [7]
above, shall also apply to a Special Meeting.
3) The Rabbinic Authority:
a) The General Meeting is empowered to appoint the Rabbi/Rav of the Kehilla for a
term that it will decide. Such decision relating to the appointment and length of the
