                          employment of the Rabbi/Rav will be decided by a two-third majority of those
                          present.
                       b)  The salary and other compensation paid to the Rabbi/Rav for the fulfillment of his
                          duties as well as any other conditions of employment will be determined by an
                          agreement confirmed by the Vaad of the Amutah. All of the above shall be subject to
                          the guidelines for proper conduct and administration as established by the Registrar
                          of Amutot and the requirements of the Law.
                       c)  The Rabbinic Authority will be the sole authority empowered to make all halakhic
                          decisions. In the event that there is no rabbi employed or designated as the halakhic
                          authority by the kehilla, the Board will decide to which Rabbinic Authority to address
                          halakhic questions as the need may arise.
                       d)  The Rabbi/Rav will be subject to the decisions of the Vaad of the Amutah and the
                          requirements of the Takanon.
                       e)  The Rabbi/Rav is authorized to decide issues relating to differences of opinion that
                          may arise between a member of the Amutah and the Amutah itself or between
                          members of the Amutah, with the limitation that such issues do not relate to the
                          authority of other institutions of the Amutah itself.

                     4)    The Board of the Amutah.

                       a)  Board Members:
                          1.   Board members will be chosen at a General Meeting. The positions of the chair,
                              secretary and treasurer will be decided by the Board members at the first
                              meeting of the new Board.
                          2.  The affairs of the Amutah will be conducted on a daily basis by the Board [Vaad],
                              consisting of seven [7] members. A quorum will be a majority of the Board.
                          3.  At the first election to the board, four (4) board members will be elected for a
                              term of two (2) years and three (3) board members will be elected for a term of
                              one (1) year. At all following elections, newly elected board members will serve
                              for a term of two (2) years.
                          4.   A Board member may serve for a maximum of three (3) consecutive two (2) year
                              terms, i.e., six (6) years.  Once having left the Board after six (6) years, a former
                              Board member may, after a hiatus of one (1) year, be re-elected to the Board in
                              a future election.
                          5.  Until a new Board is chosen, the previous Board will remain in office to conduct
                              the affairs of the Amutah.
                          6.  In the event that for whatever reason there occurs a vacancy on the Board, the
                              Board is empowered to appoint for a temporary period another Amutah
                              member to Board membership. The temporary member will serve until the next
                              General Meeting, at which the appointment will either be made permanent or
                              another Amutah member will be chosen in his/her place. Notwithstanding the
                              above, should the number of Board members fall below the required number of
