                              IT services company

              10.1  Creation of Case line
              CASE line was set up on the initiative of IRE and the Belgian
              distributor of Synon-2, which was 100% owned by the IBS

              group. The distributor, an IBM agent, took 75% of the shares
              and the IRE 25%. It was agreed that as soon as CASE line
              was  created,  it  would  become  the  official  distributor  of
              Synon-2.
                 Activities began in November 1988 with four people, two

              from IBS and two from IRE. I asked to my right-hand man

              to come with me. He was highly motivated and accepted.
              Given his seniority at the IRE, our boss also offered him the
              golden parachute.
                 Our offices remained in Fleurus for a few more months,
              and at the end of January 1989, we moved into new offices
              on  Avenue  Louise  in  Brussels.  Our  business  model  was
              based, on the one hand, on the sale of Synon-2 user licenses
              with maintenance and support contracts, and on the other,
              on the sale of services. From the outset, we put in place all
              the  services  a  customer  might  need:  installation,
              parameterization, training, specific developments, start-up
              assistance and post-start-up follow-up.
