                 EMPLOYEE EDUCATION PROGRAMS

                 Seminars, Conferences and Trainings


                 Some employees may need to attend training programs, seminars, conferences,
                 lectures, meetings, or other outside activities for the benefit of Jones-Hamilton Co. or
                 the individual employees. Attendance at such activities, whether required by Jones-
                 Hamilton Co. or requested by individual employees, requires the written approval of
                 the immediate manager.
                 For attendance at events required or authorized by Jones-Hamilton Co. customary and
                 reasonable expenses will be reimbursed upon submission of proper receipts.
                 Acceptable expenses generally include registration fees, materials, meals,
                 transportation, and parking. Reimbursement policies regarding these expenses should
                 be discussed with your Manager in advance.

                 Employee attendance at any such activities that are approved will be considered hours
                 worked for non-exempt employees and will be compensated in accordance with normal
                 payroll practices.

                 This policy does not apply to an employee’s voluntary attendance, outside of normal
                 working hours, at formal or informal educational sessions, even if such sessions
                 generally may lead to improved job performance. While Jones-Hamilton Co. generally
                 encourages all employees to improve their knowledge, job skills, and promotional
                 qualifications, such activities do not qualify for reimbursement or compensation under
                 this policy unless prior written approval is obtained as described previously.


                 Tuition Assistance Program

                 Jones-Hamilton Co. has developed a Tuition Assistance Program which provides
                 financial assistance for full time employees who attend academic courses/programs
                 which are mutually beneficial to the employee and Jones-Hamilton Co.

                 The Program provides employees with the opportunity to voluntarily engage in
                 academic learning on their own time and in fields of learning that will benefit Jones-
                 Hamilton Co. as well as the individual. Following the guidelines and time frames
                 outlined under the Program, employees must earn a passing grade of “B” or its
                 equivalent or obtain a certification to receive any reimbursement. Expenses must be
                 validated by receipts, and a copy of the final grade card or certification must be
                 presented to show hours or certification received.

                 Eligibility

                 All regular full-time employees of Jones-Hamilton Co. are eligible to participate under
                 the Program.  Eligibility begins after a 12-month waiting period from date of hire and
                 an approval by a Division level manager with final approval by the President.  Any
