               All information concerning the relationship between Sun Corporation and its Suppliers will be respected as
               confidential.  This includes, but is not limited to, purchase specifications, pricing, customer information and
               information provided in this manual or appendixes.

        6 • •• • CODE OF CONDUCT




               Suppliers conducting current and or future business with Sun Corporation are expected to follow Sun
               Corporation’s vision and values Code of Conduct.
                   I.  General Principle: Supplier plants shall operate in full compliance with the laws of their respective
                       countries and with all other applicable laws, rules, and regulations.
                   II.  Environment: Supplier plants must comply with all applicable environmental laws and regulations.
                   III.  Child Labor: Suppliers shall employ only workers who meet the applicable minimum legal age
                       requirement. Co-packs must also comply with all other applicable child labor laws.
                   IV.  Forced Labor: Suppliers shall not use any indentured or forced labor, slavery or servitude.
                   V.  Wages and Hours: Supplier plants shall set working hours, wages and over-time pay in compliance with
                       all applicable laws.
                   VI.  Discrimination: Suppliers shall hire, train, advance, compensate, discipline, and terminate workers on
                       the basis of their ability to do the job, not on the basis of their personal characteristics or beliefs
                       (including race, color, gender, ethnic or national origin, religion, age, maternity, sexual preference or
                       marital status).
                   VII. Freedom of Association: Supplier’s workers are free to join associations of their own choosing, and have
                       the freedom of collective bargaining where the local law confers such rights.
                   VIII. Gift Policy: Sun Corporation employees may not accept gifts from persons or entities who deal with the
                       Company in those cases where any such gift is more than modest in value, or where acceptance of gifts
                       could create the appearance of conflict of interest. Reference: Sun Products Corporations “Code of
                       Conduct” Policy.



        7 • •• • KEY ROLES AND RESPONSIBILITIES


               Under the guidance of the Supplier Quality Assurance Manager, a cross functional team consisting of
               representatives from Purchasing, R&D/Technical Group, Package Development Engineering and Quality at each
               Sun Products Corporation’s locations are responsible for the Supplier Quality Systems Expectations Manual
               implementation, and have the authority to ensure all suppliers meet and fulfill its requirements.

               The roles and responsibilities represented in this section represent the core of our business and the differences
               you will see across our organization will be minimal.
