I.  Sun Products Sourcing Organization


               Buyer
               The buyer is the Supplier’s primary contact for all purchasing and business-related issues. The buyer is
               responsible for the relationship with the Supplier, including, but not limited to, issues such as contract, quality,
               cost, delivery, or health of the business. The Supplier must inform the buyer of any issue that impacts delivery,
               or to request any changes.

            II.  Supplier Organization

               The Supplier will identify a contact within the Supplier organization to communicate with Sun Products for each
               function below.

               Customer Representative
               The customer representative to Sun Products is the primary contact within the Supplier’s organization for any
               key communications with Sun Products, including any quality, delivery, or commercial issue resolution.

               Quality Management Representative
               The Quality Management Representative within the Supplier’s organization is responsible for quality resolution
               and the implementation and maintenance of the Supplier’s Quality Management System.


        8 • •• • QUALITY SYSTEMS REQUIREMENTS

               Sun Products Corporation requires suppliers to develop fundamental quality systems that provide for
               continuous improvement and emphasize defect prevention while reducing variation and waste.


               At this time Sun does not require suppliers to obtain certification to ISO 9000; however, suppliers are strongly
               encouraged to use ISO 9000 as the basis for their quality system development.


        9 • •• • SUPPLIER ASSESSMENTS




               Sun Products Corporation may with prior notification, conduct Quality System audits at supplier’s facilities. The
               goal of the audits is to understand suppliers’ capabilities and quality systems and identify continuous
               improvement opportunities.

               Potential suppliers will be assessed as part of Sun’s sourcing process.  Current suppliers may be audited if there
               are ongoing quality problems.

               Suppliers will be sent a Pre-assessment survey before the audit date. This pre-assessment should be returned
               prior to Sun conducting the audit. Following the audit Sun will forward our findings and any needed corrective
               actions on part of the supplier. Results of the audit will be used in the sourcing decision of potential suppliers.
