SEPARATION OF EMPLOYMENT

                 Involuntary Termination and Progressive Discipline

                 Violation  of  Company  policies  and  rules  may  warrant  disciplinary  action,  up  to  and
                 including termination. Although Jones-Hamilton Co.’s employees are “at-will” except as
                 otherwise stated herein regarding the requirements for a contract of employment, and
                 despite the fact that both employees and Jones-Hamilton Co. have the right to terminate
                 employment  with  or  without  cause  and  with  or  without  notice  at  any  time,  Jones-
                 Hamilton Co. may use progressive discipline at the Jones-Hamilton Co. discretion.

                 Jones-Hamilton Co. has established a system of progressive discipline that includes the
                 following  possible  discipline:  verbal  warnings,  written  warnings,  suspension,  and
                 termination.  Jones-Hamilton Co. may, in its sole discretion, utilize whatever form of
                 discipline  it  deems  appropriate  under  the  circumstances,  up  to,  and  including,
                 termination of employment. Jones-Hamilton Co.’s policy of progressive discipline in no
                 way limits or alters the at-will employment relationship.

                 Although  Jones-Hamilton,  in  some  cases,  may  apply  the  aforementioned  forms  of
                 discipline in the order they are listed in this policy, Jones-Hamilton may choose at its
                 sole  discretion  to  bypass  any  form  of  discipline  or  to  implement  different  or  unique
                 discipline  depending  on  factors  such  as  the  severity  of  the  offense,  the  number  of
                 occurrences, and the risk to Jones-Hamilton and its business resulting from the offense.
                 Jones-Hamilton Co. will evaluate each instance on a case-by-case basis.  Jones-Hamilton
                 may, at its sole discretion, determine that an employee’s offense justifies suspension or
                 termination without implementing any other form of progressive discipline.

                 Voluntary Termination

                 Voluntary termination results when an employee voluntarily resigns his or her
                 employment, or fails to report to work for two or more consecutively scheduled
                 workdays without notice to, or approval by, his or her supervisor.


                 Return of Company Property at Termination

                 All Jones-Hamilton Co. owned property, including keys, uniforms, computer, tablet,
                 phone, devices, vehicles and credit cards, must be returned immediately upon
                 termination of employment.
